In order to evaluate SystemJ, we offer a free download of the SystemJ compiler and base debugger and certain other components described below. Also, after accepting download conditions, you will be able to see a number of small and interesting demo systems developed using SystemJ as an indication of the type of systems which can be easily specified using new powerful language. Before starting the download, please read and accept this license agreement (“Agreement”). It governs your use of the SystemJ suite: In this Agreement, “we”, “us” and “our” refer to [Auckland Uniservices Limited] of Auckland, New Zealand and “you” and “your” refers to you, the licensee of the SystemJ suite. SystemJ Evaluation License Agreement 1. GRANT OF LICENSE. We grant you a non-exclusive, non-transferable, royalty-free license to install and use the SystemJ compiler, base debugger, libraries, demo examples and associated documentation (“SystemJ suite”)) on a single computer platform for the sole purpose of evaluating SystemJ (“Purpose”). If you intend to use the SystemJ suite on multiple computers you have to register each copy. You may not make any copies of the SystemJ suite and may not reverse-engineer, disassemble, or decompile it under any conditions and you may not use the SystemJ suite other than for the Purpose. 2. OWNERSHIP. You acknowledge and agree that the SystemJ suite, and all copyright and other intellectual property rights in the SystemJ suite, are owned by us or our licensors and we and our licensors retain all rights to the SystemJ suite. You also acknowledge and agree that rights in any improvements made to the SystemJ suite by you or any person that uses the SystemJ suite licensed under this Agreement, are owned by and will automatically vest in us or our licensors. 3. ECLIPSE. Components of the SystemJ suite may include elements of Eclipse software. Eclipse software is licensed by the contributors to that software in accordance with the Eclipse licence terms, which are available at www.eclipse.org (“Eclipse Licence”). Your use of any component of the SystemJ suite that incorporates Eclipse software will be subject the terms of the Eclipse Licence and, by accepting the terms of this Agreement, you agree to be bound by the Eclipse Licence in relation to those components. 4. TERM. Unless sooner terminated, this Agreement shall be effective for a period of 3 calendar months after you install the SystemJ suite or any component of it onto your computer platform. We may terminate this Agreement at any time by giving notice to you if you fail to comply with the terms of this Agreement. You will delete the SystemJ suite from your computer platform upon expiry or termination of this Agreement. On expiry, but not on termination, of this Agreement you may apply for a new evaluation licence if you intend to use the SystemJ suite for another 3 months. 5. NO WARRANTY. The SystemJ suite, including all third party components, is provided “as is” and without warranties, support or maintenance of any kind. To the maximum extent permitted by law, we and our contributors exclude all representations, warranties and undertakings either express or implied, in relation to the SystemJ suite including, but not limited to, any representation, warranty or undertaking: (a) that the SystemJ suite is of acceptable quality, is merchantable or is fit for a particular purpose; and (b) as to title or as to non-infringement of third party rights including third party intellectual property rights. 6. LIMITATION OF LIABILITY. In no event will we or any contributor to the SystemJ suite be liable (whether in contract, tort (including negligence) or otherwise) for direct, indirect, special or consequential damages, including but not limited to lost profits or the loss of data resulting from the use of the SystemJ suite. Notwithstanding any other exclusion of liability under this Agreement, our total liability, and the total liability of all contributors to the System J suite, to you for any claim or claims in contract, tort (including negligence) or otherwise arising directly or indirectly from your use of the SystemJ suite or otherwise in relation to this Agreement will not exceed the sum of NZ$10.00. 7. ASSIGNMENT. You may not assign your rights under this Agreement to another party. We may assign and novate our rights and obligations under this Agreement to another party as part of the sale or solvent reconstruction of our business. 8. OTHER. You agree to share with us the results of your evaluation efforts including, but not limited to, performance benchmarks, problems encountered, or other findings which may influence your decision regarding future use, or non use, of SystemJ. 9. AMENDMENT. We may, from time to time, amend the terms of this Agreement. We will make the amended version of this Agreement available on this website and that version will apply on and from that date. If you do not accept any changes to the terms of this Agreement, you may terminate this Agreement at any time by giving us notice in writing and complying with clause 4. 10. SEVERABILITY: If any provision of this Agreement is held invalid, unenforceable or illegal for any reason, this Agreement will remain otherwise in full force apart from such provisions, which will be deemed deleted. 11. GOVERNING LAW. New Zealand law governs the formation, validity, construction and performance of this Agreement. This Agreement is subject to the non-exclusive jurisdiction of the New Zealand courts, and the parties submit to that jurisdiction. 12. DOWNLOAD REGISTRATION. In order to get the download right I acccept the above conditions and agree to provide my truthful details as required in registration form.
